The Management Board of HELIO S.A. hereby informs that the total value of trade between HELIO SA and Auchan Polska Sp. z o.o. with its registered office in Piaseczno in the last 12 months was PLN 11,774,749.28 net . Thus, the value of the trade between the companies exceeded 10 % of sales revenues of the Issuer, so it is the basis for publishing this report.

The subject of cooperation between HELIO SA and Auchan Polska Sp. z o.o is the sale of dried fruits, nuts and grains manufactured by HELIO SA executed on the basis of orders Auchan Polska Sp. z o.o. The invoice dated 03.03.2015 in the amount of 235,100.70 net had the greatest value of the sales. This transaction was the sale of packaged dried fruits, nuts and grains manufactured by HELIO SA. The particular transactions (deliveries of ordered goods) are based on the general conditions of cooperation which defines principles of trade cooperation, while the terms of cooperation, including penalties, do not diverge from the terms commonly applied for agreement of this type. The amount of contractual penalties assumed in the agreement may exceed the equivalent of EUR 200,000 expressed in PLN. The reservation of contractual penalties refers to failing to perform or improper performance of the agreement by HELIO SA. Payment of contractual penalties shall not exclude Auchan Polska Sp. z o.o. right to recovery of compensation claims exceeding the amount of the contractual penalty. The both of party may terminate the general conditions of cooperation with a one-month notice.

Due to the long-term of cooperation between HELIO SA and Auchan Polska Sp. z o.o., as well as increased volumes of trade in recent months inter alia due to the systematic acquisition by Auchan Polska Sp. z o.o shops belonging to Real, – Sp. z o.o. i Spółka spółka komandytowa, according to current estimates of the Issuer, the cooperation with Auchan Polska Sp. z o.o will be continued in long term, and thus the value of trade shall fulfill the requirements for recognizing transactions with Auchan Polska Sp. z o.o. as significant also in future periods.

The total crossing of the threshold of 10% of the value of revenues from the Company’s sales for the period of the last four quarters of the business year shall be the fundamental requirement for recognizing the agreements as significant.
